This Agreement ("Agreement") is entered into by Allison Ramsey Architects, Inc and licensee.
1.1 License
Allison Ramsey Architects, Inc. hereby grants Licensee a non-exclusive, non-transferable license. Licensee's right and license to use the Materials shall expire automatically upon termination or completion of the Project unless terminated earlier.
1.2 Ownership
Nothing in this Agreement may be construed as transferring any ownership rights to Licensee or any third party. Licensee further agrees that neither Licensee nor its employees, representatives, agents, customers, or clients have acquired, or shall attempt to acquire, any proprietary interest in, or comparable ownership right to the Materials, any copies thereof, any derivative works based in whole or in part upon the Materials, and/or any documentation provided by Allison Ramsey Architects, Inc. with the Materials ("Documentation"). No rights to use or duplicate such property shall occur to Licensee as a result of the Agreement.
1.3 Use Restrictions
The license granted hereunder does not permit the Licensee to revise or make available or distribute all or any part of the Materials or Documentation to any third party by assignment, sublicense, or any other means.
1.4 Notice
Unless otherwise agreed to by the parties, any notice required or permitted to be given or delivered under the Agreement shall be delivered to the address below, and addressed to the attention of: Allison Ramsey Architects, Inc.
